1. Who this is between

These terms are between InnoBrains Technologies (“we”, “us”), the maker of AgroPOS, and the person or business that installs or uses it (“you”). By activating a licence key or starting a free trial, you accept these terms.

2. What your licence gives you

You are buying a licence to use AgroPOS, not ownership of the software itself. That licence lets you:

• install and run AgroPOS on the number of computers your licence covers — one for a single-counter licence, or two, three or more for a Multi-Counter licence, all within the same shop;
• use every feature of the software for the full term of the licence;
• receive updates and support while the licence is active;
• move the licence to a replacement computer, free of charge, by requesting a transfer.

Unless we agree otherwise in writing, a licence covers one shop at one location — including every counter inside that shop that the licence provides for. Additional branches at other locations need their own licences.

Machine locking

A licence key locks to the computer it is first activated on. This is how we keep one key from being copied across many shops. If you replace the machine or reinstall Windows, click Submit Request on the activation screen and we will move the licence for you — normally the same working day, at no cost.

3. What you may not do

• Share, resell, rent or sub-license your key to another business.
• Run one licence in more than one shop at the same time.
• Copy, decompile, reverse-engineer or modify the software, or attempt to defeat its licensing or trial controls.
• Remove or hide the InnoBrains attribution from the software or from documents it produces.
• Use AgroPOS to keep records you know to be false, or for anything unlawful.

If a key is being used in breach of these terms, we may suspend it. Where the breach is a genuine misunderstanding, we will contact you first and give you a chance to put it right.

4. Free trial

The 14-day trial gives you the complete software with no payment and no card details. It is limited to one trial per computer, and that limit cannot be reset by reinstalling AgroPOS or Windows. When the trial ends the software stops until a licence is activated; the data you entered stays on your computer and is there when you activate.

5. Payment and what you actually own

Prices are shown on our pricing page in Pakistani Rupees.

• The licence is one-time and does not expire. An AgroPOS licence is bought once, for the number of counters it covers. It carries no end date, and the software does not stop working after any period of time. There is no subscription, no renewal to miss and no silent auto-charge — we never charge your card again, because there is nothing to charge for.
• Cloud backup is the only thing that renews, and it is optional. It is included free for the first year, then Rs 5,000 a year if you want to keep uploading. If you never renew it, AgroPOS keeps working exactly as before — billing, stock, ledgers, reports and the automatic local backup on your own PC all continue, and the cloud backups you already have stay downloadable. Only new uploads pause.
• The trial does end. The 14-day free trial stops when the 14 days are up and a licence has not been activated. Your data stays on the computer and is there when you activate.
• Refunds. Covered by our 30-day money-back guarantee, which forms part of these terms.
• Price changes. We may change the price for new purchases. What you have already paid is not affected, and a price rise never turns your existing licence into a bill.

6. Your data

Everything you record in AgroPOS — products, customers, sales, ledgers — is yours. It is stored in a database file on your own computer. We do not claim any ownership of it and we do not sell, share or mine it.

If cloud backup is enabled, encrypted copies are stored on our servers so you can recover from hardware failure. How we handle those is set out in the privacy policy.

7. Support and updates

While your licence is active, support over WhatsApp, phone and email is included, as are updates and fixes. We aim to answer within one working day.

Support covers AgroPOS itself. It does not extend to repairing your computer, your Windows installation, your printer hardware or your internet connection — though we will usually help you work out which of those is the problem.

8. What we promise, and what we cannot

We promise that AgroPOS will do substantially what our website and this documentation say it does. If it does not, tell us: we will fix it, or refund you fairly, including outside the 30-day window where the fault is ours.

What we cannot promise is that any software will be entirely free of defects, or that it will keep running through a hardware failure, a power cut, a virus, or a computer someone else has misconfigured. AgroPOS is provided as it stands, with those realities in mind.

Limit of liability

Where the law allows us to limit it, our total liability to you for any claim connected with AgroPOS is capped at the amount you paid us for the licence in the twelve months before the claim. We are not liable for indirect losses such as lost profit or lost business.

Nothing in these terms removes rights you have under Pakistani consumer law, and nothing limits our liability for fraud or for anything the law does not permit us to limit.

9. Ending the agreement

You may stop using AgroPOS at any time. Within the first 30 days that also means a refund. After that, the licence simply runs to the end of its term.

We may suspend or end a licence if these terms are seriously breached — for example a key shared across multiple businesses, or a deliberate attempt to bypass licensing. Except where the breach is deliberate abuse, we will contact you first.

However the agreement ends, your data stays on your computer.

10. Changes to these terms

We may update these terms as the product changes. The version in force for you is the one published when you bought or last renewed your licence. We will not apply a materially worse term to a licence you have already paid for.

11. Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Pakistan have jurisdiction over any dispute. Before it gets that far, please talk to us — in practice, every problem we have had has been settled with a phone call.
